This Agreement is made between
you
(the "Restaurant") and
Dola Technology Limited
(BR No. 72301741-000-10-25-0, Room 14, Fintech Centre, 5/F, InnoCentre, No. 72 Tat Chee Road, Kowloon Tong, Kowloon, Hong Kong) (together with its affiliates, the "Company"). The Restaurant engages the Company to provide hardware, software (software-as-a-service), marketing services and related client services on the terms set out below.
1. Hardware (Optional)
- All sales are final. No refunds will be issued after the Restaurant has received the equipment.
- All hardware purchased from the Company carries a 3-month factory warranty from the delivery date. For any exchange or hardware service, the Restaurant is responsible for the cost of shipping, handling and packaging.
- Shipping, transport, packaging, handling, postage and delivery costs in respect of additional hardware or hardware returns are excluded from the invoice. The Restaurant shall pay such costs in advance or upon receiving the relevant invoice from the Company.
- For printers NOT purchased from the Company, an installation / system-integration fee of HKD 200 per printer will be charged.
2. Software Subscription
- The Restaurant subscribes to the Software and Services (as specified on the invoice).
- The Initial Setup & Training fee includes: (i) the initial menu and account setup; (ii) two (2) menu adjustments; and (iii) one (1) on-site training session of two (2) hours. All further requests for menu or system adjustments or onsite visit will be billed in accordance with Section 4 (Client Services) below.
- The Restaurant shall provide the current menu and all subsequent updates, changes and modifications (the "Restaurant Menu") in the format required by the Company. Before the on-site training session, the Restaurant shall ensure that the on-site conditions meet the Company's technical requirements.
- The Restaurant acknowledges that the Company is NOT responsible for on-site wiring, cabling or Wi-Fi configuration / setup.
3. Marketing Services & Client Services
The Company may provide marketing activities to promote the Restaurant and client services in connection with the Hardware, Software and Marketing Services. The scope and fees of any such services shall be agreed separately.

These invoice Terms & Conditions are a summary only. The complete and binding
Restaurant Agreement
(the "Master Agreement", currently Version 4.0.1) is published at
https://www.dolatechnology.com/restaurant-agreement
and is incorporated into this invoice by reference. In the event of any inconsistency between this summary and the Master Agreement, the
Master Agreement prevails. By making payment of this invoice or commencing use of the Hardware or Software, the Restaurant acknowledges that it has read, understood and accepted the Master Agreement and the terms below.
5. Payment Terms
- Failure to pay on time may result in the suspension of Hardware delivery, Software access and Marketing Services, and ultimately termination of the Restaurant's Account.
- All Software and Marketing Services subscription fees are non-refundable once paid.
- All amounts are stated in Hong Kong Dollars (HKD) unless otherwise specified. Payment details are set out on the invoice (Page 1).
6. Term, Suspension & Termination
- On termination, all outstanding invoices become immediately payable, and the Restaurant must export its own data; the Company is not responsible for data loss after deletion (Master Agreement §5.3, §5.6).
7. Third-Party Integrations
Where the Software integrates with third-party platforms, payment providers or acquirers (e.g. Foodpanda, payment processors, electronic payment channels), the Restaurant must separately register with and comply with the terms of those third parties. The Company makes no warranty regarding such integrations and shall not be responsible for any issue, loss or dispute arising from any third party beyond the Software's control (Master Agreement §3.4).
8. Confidentiality, Data & Privacy
Each party shall keep confidential all non-public information received in connection with this Agreement. The Restaurant undertakes to comply with the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486) ("PDPO") and the Company's privacy policy in respect of all Customer Data. The Restaurant is responsible for obtaining all necessary customer consents and for implementing reasonable security measures over Customer Data (Master Agreement §12 & §13).
9. Limitation of Liability
To the maximum extent permitted by law, and notwithstanding any other provision herein, the Company's aggregate liability under or in connection with this Agreement, regardless of the form of the action, shall be limited to the total fees actually paid by the Restaurant to the Company in the two (2) months immediately preceding the event giving rise to the claim. The Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, loss of profits, loss of business, loss of goodwill or loss of data (Master Agreement §9.1).
10. Governing Law & Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the Hong Kong courts in respect of any dispute arising out of or in connection with this Agreement (Master Agreement §15).
11. Language, Modification & Acceptance
This Agreement may be issued in English and Chinese; the Chinese version is provided for reference only and the English version shall prevail in case of any inconsistency or dispute. The Company may modify the Master Agreement from time to time; such modifications take effect 30 days after being posted on the Company's website and shall not apply retrospectively (Master Agreement §14.9). By making payment of this invoice and/or commencing use of the Hardware or Software, the Restaurant is deemed to have read, understood and accepted all of the terms set out herein and in the Master Agreement. DoLA Technology Limited reserves the right of final interpretation.
